These Terms and Conditions (“Terms”) govern fractional operations and strategic advisory services provided by Nascentia Incorporated (“Nascentia,” “we,” or “us”). By formal engagement with Nascentia, you (“the Client”) agree to the following:
Nascentia provides weekly, embedded fractional services to solo founders and small teams when legal and financial decisions begin to carry material consequences. Nascentia’s role is limited to legal strategy and decision operations, including coordinating external legal counsel, aligning stakeholders, and supporting clear, executable decision-making.
Services are consultative, strategic, and operational in nature, and are provided on a retainer basis. Nascentia does not provide legal advice, does not practice law, and does not act as legal counsel. No solicitor-client relationship is created. Legal advice is obtained through external counsel as required.
Nascentia supports the identification, framing, documentation, and implementation of decisions to reduce fragmentation, delay, and overwhelm, but does not make decisions on behalf of the Client or exercise authority over the Client’s business.
Services are provided on a weekly, retainer-based engagement due to the embedded and decision-driven nature of the Services. Legal and structural decisions arise continuously and often under time pressure, rather than as discrete tasks, and require ongoing availability, coordination, and judgment.
Fees are billed weekly in advance at the retainer rate agreed between Nascentia and the Client. The retainer compensates Nascentia for ongoing availability and performance of the Services during the applicable period, regardless of the specific volume, and is non-refundable. Payment of the retainer is a condition precedent to the commencement and continuation of Services.
Nascentia treats all non-public information received from Clients as confidential and uses it solely to perform agreed services. Confidentiality obligations survive the conclusion of any engagement.
All materials, methodologies, templates, and work product created by Nascentia remain the property of Nascentia unless expressly agreed otherwise in writing. Clients receive a limited, non-transferable license to use deliverables for their internal business purposes.
Nascentia operates as an independent contractor. We do not act as employees or agents of our Clients. Nascentia will not knowingly engage with any third party in a manner that would materially harm a Client’s business or create a conflict of interest.
Except in cases of gross negligence or willful misconduct, Nascentia’s total liability shall not exceed the retainer paid in connection with the relevant services. We are not liable for indirect or consequential losses.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of Alberta.
Nascentia may update these Terms from time to time. The most current version will always be available at this page, and continued engagement constitutes acceptance of any revisions.
